1. Acceptance of terms
By accessing or using CounselyAI (the "Service"), operated by Tannous Investment LTD, you agree to these Terms of Service. If you are using the Service on behalf of a law firm or other organization, you confirm you have authority to bind that organization to these terms.
2. Description of CounselyAI
CounselyAI is an AI-powered legal technology platform that assists law firms with client and case management, scheduling, legal research, document drafting and revision, and billing, over WhatsApp and the web. CounselyAI is not a law firm and does not provide legal representation.
3. User accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or the rights of others.
- Upload or transmit unlawful, harmful, or infringing content.
- Attempt to gain unauthorized access to another firm's data or to the Service's systems.
- Interfere with or disrupt the Service's operation.
5. AI-generated content and accuracy
The Service uses AI to answer questions, draft documents, and summarize information. AI-generated content may contain errors, omissions, or outdated information, and is provided "as is" without warranty of accuracy or completeness. You are responsible for reviewing AI-generated content before relying on it.
6. Legal disclaimer
CounselyAI provides information and workflow assistance, not legal advice or representation. Using the Service does not create an attorney-client relationship. See our full Legal Disclaimer, which is incorporated into these Terms by reference.
7. Your responsibilities
You are responsible for the accuracy of information you provide, for reviewing and confirming actions before the assistant executes them, and for complying with your own professional and legal obligations (including client confidentiality and conflict-of-interest rules) when using the Service.
8. Uploaded content
You retain ownership of documents and content you upload. You grant us a limited license to store, process, and use that content solely to provide the Service to you (including AI processing as described in our Privacy Policy). You are responsible for having the right to upload and share any content you submit.
9. Intellectual property
The Service, including its software, design, and branding, is owned by Tannous Investment LTD and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding beyond what is necessary to use the Service.
10. Third-party services
The Service relies on third-party providers (including an AI model provider and, where used, WhatsApp/Meta's Cloud API) to operate. We are not responsible for the availability or performance of those third-party services.
11. Suspension and termination
We may suspend or terminate access to the Service for violation of these Terms, non-payment, or to protect the Service or other users. You may stop using the Service, or request account closure, at any time.
12. Limitation of liability
To the maximum extent permitted by law, Tannous Investment LTD and CounselyAI shall not be liable for indirect, incidental, or consequential damages arising from use of the Service, including reliance on AI-generated content. The Service is provided "as is" without warranties of any kind except as required by applicable law.
13. Changes to the Service
We may update, modify, or discontinue features of the Service at any time. We will make reasonable efforts to notify users of material changes.
14. Governing law
The governing law and jurisdiction for disputes arising under these Terms has not yet been formally established for publication and must be confirmed by the company's legal counsel before this section is finalized.
